These Terms govern your use of the BindSignal website and services. If you use BindSignal on behalf of an organisation, you represent that you have authority to bind that organisation.
Key points (plain English)
BindSignal is a B2B service. Your organisation is the customer, and you are an authorised user.
You must use the service lawfully and protect your login credentials.
We provide the service “as is” for pilots unless a separate written agreement says otherwise.
Our liability is limited to the maximum extent allowed by law and any signed agreement.

1) Definitions
“BindSignal”, “we”, “us” means [BindSignal Ltd].
“Customer” means the organisation that enters into an agreement with BindSignal.
“User” means an individual authorised by the Customer to use the Service.
“Service” means the BindSignal software, including dashboards, setup pages, and email digests.
“Customer Data” means data submitted to or processed by the Service on Customer’s behalf (including Microsoft 365 data accessed via Microsoft Graph).
2) Eligibility and accounts
You must be at least 18 years old and authorised to use the Service. You agree to provide accurate information and to keep it updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3) The Service
BindSignal provides weekly digest insights designed to help insurance distribution teams prioritise producer relationships. The Service is additive to existing tools (e.g., Microsoft 365 and a CRM) and does not replace core systems.
We may update, change, or discontinue parts of the Service. For paid subscriptions, any material change will be handled in accordance with the relevant agreement.
4) Acceptable use
You agree not to:
Use the Service in violation of any law or regulation.
Attempt to gain unauthorised access to the Service or related systems.
Reverse engineer, decompile, or otherwise attempt to extract source code except where permitted by law.
Interfere with or disrupt the integrity or performance of the Service.
Upload or transmit malware or malicious code.
Use the Service to process data you do not have rights to process.
5) Customer data and privacy
Customers retain all rights to Customer Data. As between BindSignal and Customer, Customer is responsible for the legality of Customer Data and for obtaining any required notices and consents from Users and data subjects.
BindSignal will process Customer Data only to provide the Service, to support and secure it, and as otherwise permitted by the Customer agreement. Our Privacy Policy describes our processing and safeguards.
Data Processing Addendum
Where required by applicable law, we will offer a data processing addendum (“DPA”) that describes our obligations as a processor.
6) Security
We implement reasonable administrative, technical, and physical measures designed to protect Customer Data. Customers are responsible for:
Configuring the Service appropriately (e.g., internal domains, excluded domains, recipients).
Ensuring only authorised users connect Microsoft 365 and select mailboxes.
Maintaining their Microsoft 365 tenant security and policies.
7) Third-party services
The Service integrates with third-party services, including Microsoft 365 and Microsoft Graph. Your use of third-party services is governed by their terms. BindSignal is not responsible for third-party outages or changes.
8) Fees and payment
Fees, billing, and payment terms (if any) will be set out in an order form, subscription agreement, or other written agreement between BindSignal and the Customer. Unless otherwise stated, fees are non-refundable.
9) Pilots, beta features, and disclaimers
During pilots or beta periods, certain features may be experimental and provided for evaluation. Availability, accuracy, and performance may vary. Insights are intended to support decision-making but do not replace professional judgement.
10) Intellectual property
BindSignal and its licensors own all intellectual property rights in the Service, including software, documentation, and branding. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during the term, solely for the Customer’s internal business purposes.
Customers own their Customer Data. Customers grant BindSignal a limited licence to process Customer Data to provide the Service.
11) Confidentiality
“Confidential Information” includes non-public information disclosed by one party to the other. Each party agrees to protect the other party’s Confidential Information using reasonable care and to use it only for purposes related to the Service.
12) Termination
We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service and users. Customers may terminate according to their agreement.
Upon termination, access will stop. Customer Data handling (return/deletion) will be governed by the applicable customer agreement and law.
13) Warranties and disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted or error-free, or that insights will be complete or accurate for every use case.
14) Limitation of liability
To the maximum extent permitted by law:
BindSignal will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
BindSignal’s total liability arising out of or related to these Terms will not exceed the amounts paid by the Customer to BindSignal for the Service in the 12 months preceding the claim (or, if no fees were paid, £100).
Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., for fraud or death/personal injury caused by negligence).
15) Indemnity
You will indemnify and hold BindSignal harmless from claims arising out of your unlawful use of the Service, your violation of these Terms, or your infringement of third-party rights, to the extent permitted by law.
16) Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales will have exclusive jurisdiction, except where prohibited by applicable law.
